Terms of service

These Terms of Service (“TOS”) govern your use of the services provided by Exutory Solutions LLC (“Exutory,” “we,” “our,” or “us”). By accessing or using our services, you agree to be bound by these TOS. If you do not agree, you must discontinue use of Exutory Solutions’ services.

1. Introduction

Purpose of the TOS:
These TOS define the terms under which Exutory Solutions LLC provides managed IT services, software, support, and all related offerings (“Services”).

Agreement:
By using our Services, you acknowledge that you have read, understood, and agree to be legally bound by these TOS.

2. Services Provided

Description of Services:
Exutory Solutions LLC provides managed IT and technology services, including but not limited to:

  • IT support and help desk
  • Network management and monitoring
  • Cybersecurity solutions
  • Software and application development
  • Cloud management and migrations
  • Data backup and disaster recovery
  • IT consulting and strategy

Specific services and deliverables will be defined in a separate agreement or Statement of Work (SOW).

Limitations of Services:
While we aim to provide reliable and uninterrupted service, we do not guarantee error-free or continuous operation. Exutory is not responsible for disruptions caused by factors outside our control.

3. Payment and Fees

Payment Terms:
Unless stated otherwise in writing, all services require payment in advance. Accepted payment methods include credit card, bank transfer, or approved corporate billing arrangements.

Fees:
Monthly, annual, or project-based fees will be detailed in your Service Agreement or SOW.

Refund Policy:
Payments are non-refundable unless explicitly stated in your contract.

4. Data Security and Confidentiality

Data Security:
We take the protection of client data seriously. Exutory uses industry-standard security measures including firewalls, encryption, secure servers, and continuous monitoring.

Confidentiality:
Exutory will not disclose client information to third parties without explicit written permission, unless required by law.

5. Service Level Agreement (SLA)

Service Guarantees:
Performance commitments, response times, and uptime targets are defined in the SLA agreed with each client.

Reporting Issues:
If you experience a service interruption or issue, you must notify our support team. We will work to resolve issues as quickly as reasonably possible.

6. Intellectual Property

Ownership:
All tools, software, methodologies, and intellectual property used or developed by Exutory remain our exclusive property unless otherwise stated.

Client Restrictions:
Clients may use provided materials only for the intended purpose and may not copy, distribute, or modify any Exutory intellectual property without permission.

7. Termination and Cancellation

Termination Conditions:
Exutory may suspend or terminate Services if:

  • You breach these TOS
  • You fail to make timely payments
  • You misuse or attempt to compromise our systems

Procedure:
We will provide written notice of termination or suspension. All outstanding balances become due immediately upon termination.

8. Liability and Indemnification

Limitations of Liability:
Exutory Solutions LLC is not liable for indirect, incidental, special, or consequential damages arising from your use of the Services.

Indemnification:
You agree to indemnify and hold Exutory, its employees, officers, and partners harmless from claims arising from your violation of these TOS or misuse of the Services.

9. Dispute Resolution

Any dispute arising out of or relating to these TOS shall be resolved through mediation or arbitration in the State of Minnesota, unless both parties agree otherwise.

10. Governing Law and Jurisdiction

These TOS are governed by and interpreted in accordance with the laws of the State of Minnesota.
Any legal action related to these TOS shall be brought exclusively in courts located in Minnesota, USA.

11. Miscellaneous

Entire Agreement:
These TOS represent the full agreement between you and Exutory regarding service usage.

Severability:
If any provision is found unenforceable, the remaining terms remain in full effect.

No Waiver:
Failure to enforce any provision does not constitute a waiver of future enforcement.

Force Majeure:
Exutory is not responsible for delays caused by events beyond our control, such as natural disasters, war, cyberattacks, power outages, strikes, or governmental actions.
